This document is a public offer addressed to an unlimited number of persons and defines the terms for paid access to the eContractor software as a SaaS service.
1. General provisions
The offer defines the terms under which eContractor provides access to the CRM ERP platform for installation businesses.
Acceptance of the offer occurs by paying for a package, starting paid use, signing up through an agreed process or otherwise clearly confirming consent to the offer terms.
If a separate written agreement is signed, that agreement prevails over this offer for the matters it regulates.
2. Service scope
The service provides access to software functionality for managing leads, customers, tasks, jobs, crews, warehouses, products, services, documents, payments, reports, integrations and related workflows.
The exact functionality, limits, support scope and deployment model depend on the selected package and current product configuration.
eContractor may update, improve or change functionality as part of product development, provided the core purpose of the service remains available.
3. Packages and access period
Packages, prices, limits and access periods are displayed on the website or defined in an invoice, commercial proposal or written arrangement.
Access is provided for the paid period. After the period ends, access may be limited until renewal.
Enterprise or self-hosted arrangements may have separate deployment, maintenance and support conditions.
4. Payment
Payment is made according to the selected package and invoice or other agreed payment method.
Prices may be stated in USD or another currency. Taxes, bank fees or conversion costs may apply according to law and payment provider rules.
The customer is responsible for timely payment and for providing accurate billing information.
5. Refunds
Refunds for paid access are not provided unless expressly agreed in writing or required by mandatory law.
If access cannot be provided due to a fault attributable to eContractor and cannot be restored within a reasonable period, the parties may agree on an extension, replacement service or other remedy.
6. Customer obligations
The customer must use the platform lawfully, keep credentials secure, configure user rights carefully and ensure that data entered into the system is accurate and lawful.
The customer is responsible for its internal business decisions, financial checks, accounting treatment and compliance with obligations toward its clients, employees, contractors and suppliers.
7. eContractor obligations
eContractor provides access to the platform within the selected package and makes reasonable efforts to keep the service stable and secure.
Support, onboarding, custom configuration, integrations or data migration may be provided if included in the package or agreed separately.
8. Data and confidentiality
Customer operational data remains the customer's business information. eContractor processes it to provide the service and does not sell it to third parties.
The parties must protect confidential information and use it only for purposes related to service provision and use.
9. Integrations
The platform may connect to Google, Telegram, APIs, webhooks, email, counterparty verification, file storage, payment or accounting tools.
Third-party services are governed by their own terms and technical limits. eContractor is not responsible for third-party outages, pricing, API changes or restrictions.
10. Intellectual property
All rights to the eContractor software, interfaces, design, structure, texts, visuals and trademarks belong to eContractor or are used on lawful grounds.
The customer receives a limited right to use the software during the access period and may not copy, modify, decompile, resell or create derivative products without written consent.
11. Service availability
eContractor aims to provide stable service operation but does not guarantee uninterrupted access or complete absence of technical failures.
Maintenance, updates, hosting provider issues, internet provider issues or third-party service failures may affect availability.
12. Liability
eContractor is not liable for indirect losses, lost profit, interruption of customer business processes, user errors, incorrect settings, unauthorized credential transfer or decisions made based on user-entered data.
Unless a separate written agreement states otherwise, liability is limited to the amount actually paid by the customer for the relevant package during the period in which the claim arose.
13. Termination
The customer may stop using the service at the end of the paid period. eContractor may restrict or terminate access in case of non-payment, material breach, security risk or unlawful use.
Termination does not cancel obligations that arose before termination, including payment obligations and confidentiality.
14. Changes to the offer
eContractor may update this offer, packages, prices and service rules. The current version is published on the website.
Continued use of the service after an update means acceptance of the updated offer unless another written arrangement applies.
